If you have a new business idea or plan to delete the objectives that were originally declared at incorporation, Themis Partner will assist you in preparing the government forms and the minutes of the shareholders’ meeting to change company objectives. An important point to consider is that some companies dealing with (but not limited to) tourism, recruitment, finance, etc., require that you request a letter of approval from the responsible government department before these business purposes can be added to your corporate documents. A license may also be issued, in addition to the approval letter, once the company has declared these objectives.

How to change company objectives?

➤ Publish notice of the meeting at least once in a local newspaper, no later than 14 days prior to the date scheduled for the meeting and send a copy by registered mail to all shareholders
➤ Within 14 days of such meeting, the corporation may amend the objectives with the Department of Business Development (DBD) by submitting the appropriate government forms

Are company objectives mentioned in the work permit?

A company can only engage in business practices that fall within the scope of the company’s registration document with the Ministry of Commerce and the Ministry of Finance. For foreigners employed in a business in Thailand, the business objectives of the company will need to be included in the foreigner’s work permit booklet, as well as his or her role in the company. It should be noted that, in addition to the format suggested by the government office, the company should only list the objectives that you are/will be genuinely interested in, as some objectives allow the company to apply for a related license to conduct that business.

What are the documents required?

The modification of the company objectives has to be submitted in three different departments:

➤ Initial registration of VAT (PP 20) along with one copy of the document
➤ Three copies of VAT Compliance (PP 01)
➤ Copy of the director's ID card and house registration
➤ Power of attorney
➤ Full set of company affidavit

The Social Security

➤ Copy of director's ID card or passport
➤ Form Sor Por Sor 6-15
➤ Company affidavit
➤ Company objective
